Terms of Service
Effective date: 5 October 2026 · Version 1.1
These Terms of Service ("Terms") govern access to and use of the platform at tanersplace.com (the "Service"), provided by Taner Ltd, a private limited company registered in England and Wales (company number 17492661), trading as "TanersPlace" ("we", "us", "our"). By creating an account or otherwise using the Service, you and, where you are acting on behalf of an organisation, that organisation ("you", "your", "Customer") agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Service.
1. What the Service is
The Service is a self-assessment and progress-tracking platform that helps Multi-Academy Trusts, schools and businesses work through cyber security, data protection and other compliance frameworks (including but not limited to a custom NCSC-derived framework, Cyber Essentials, ISO 27001, and DfE Digital Standards), track third-party service usage, and manage related evidence and documentation.
The Service is a self-assessment and tracking tool, not a certifying body, auditor, or provider of legal or professional advice. Using the Service does not itself confer, guarantee, or imply achievement of any certification (including Cyber Essentials or ISO 27001), compliance with UK GDPR or any other law, or any particular security posture. Certification, where sought, is granted only by the relevant independent certifying body following their own assessment process. You remain solely responsible for your organisation's actual compliance with applicable law and for the accuracy of what you record in the Service.
2. Eligibility and accounts
The Service is intended for use by adult staff acting on behalf of a school, Multi-Academy Trust, or business — not by pupils or members of the public. To use the Service you must:
- provide accurate, current information when registering;
- keep your login credentials confidential, and notify us promptly of any unauthorised use of your account;
- be authorised to act on behalf of the organisation you register or join.
You are responsible for all activity that occurs under your account. An organisation's Trust Lead/administrator may invite, approve, suspend, or remove other users' access to that organisation's account within the Service.
3. Your content, and how we process it
You (or your organisation) retain all ownership rights in the data, notes, documents and other content you submit to the Service ("Customer Content"). By submitting Customer Content, you grant us a licence to host, store, process and display it solely for the purpose of providing the Service to you.
You are solely responsible for Customer Content, and you warrant that you have all rights and lawful basis necessary to submit it, including any personal data about staff, pupils, or third parties it may contain. Our handling of Customer Content that includes personal data is described in our Privacy Policy and, where required, a separate Data Processing Agreement available on request.
4. Acceptable use
You agree not to, and not to permit others to:
- use the Service for any unlawful purpose, or in a way that infringes another party's rights;
- attempt to gain unauthorised access to the Service, other accounts, or any system or network connected to it, or attempt to circumvent any security or access control;
- probe, scan, or test the vulnerability of the Service except as part of a security assessment we have separately agreed to in writing;
- upload malicious code, or content that is unlawful, defamatory, or infringes a third party's intellectual property or privacy rights;
- interfere with or disrupt the integrity or performance of the Service, or attempt to access it via any automated means not provided by us;
- resell, sublicense, or provide access to the Service to any party not authorised under your account, without our prior written consent;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits this despite this restriction.
We may suspend or terminate access for any account we reasonably believe is being used in breach of this section.
5. Fees and payment
[INSERT: current pricing/subscription terms, or a statement that pricing is set out separately in an order form/pricing page for paid tiers, as applicable at the time these Terms are finalised.] Where fees apply, they are as set out on our pricing page or in an order form agreed with you, and are payable in accordance with the terms stated there. We may change our fees for future billing periods with reasonable advance notice.
6. Intellectual property
We (and our licensors) own all right, title and interest in the Service itself — its software, design, and underlying technology — excluding Customer Content. Nothing in these Terms transfers any of our intellectual property rights to you, except the limited right to use the Service as set out here. Any feedback or suggestions you give us about the Service may be used by us without restriction or obligation to you.
7. Confidentiality
Each party agrees to protect the other's confidential information (including, on our side, your Customer Content, and on your side, any non-public information about the Service we share with you) using at least the same degree of care it uses for its own confidential information of similar importance, and not to disclose it to third parties except as needed to provide or use the Service, or as required by law.
8. Service availability
We aim to make the Service available on a continuous basis, but we do not guarantee uninterrupted or error-free operation. We may carry out scheduled or emergency maintenance, and the Service may occasionally be unavailable as a result. Except where separately agreed in writing (e.g. a formal Service Level Agreement), no specific uptime commitment is made under these Terms.
9. Warranties and disclaimers
We will provide the Service using reasonable skill and care. Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of satisfactory quality, fitness for a particular purpose, or non-infringement.
Nothing in these Terms excludes or limits either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot lawfully be excluded or limited under English law.
10. Limitation of liability
[This section requires review by a qualified solicitor before this document is relied upon commercially — the wording below is a standard starting point, not a finished, verified-enforceable clause.]
Subject to Section 9, to the fullest extent permitted by law: (a) neither party will be liable to the other for any indirect, special, incidental, or consequential loss, or for any loss of profits, revenue, business, goodwill, or data, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such loss; and (b) each party's total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, will not exceed [INSERT CAP — e.g. the fees paid by Customer in the 12 months preceding the claim, or a fixed amount for a free/trial tier].
11. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) Customer Content that infringes a third party's rights or breaches applicable law; or (c) your misuse of the Service.
12. Term and termination
These Terms apply for as long as you have an account or otherwise use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access, with reasonable notice where practicable (or immediately in the case of a material breach of Section 4, or where required by law), if you breach these Terms.
On termination, your right to use the Service ends. We will make Customer Content available for export for a reasonable period following termination (unless termination was for cause relating to unlawful content), after which it may be deleted in accordance with our data retention practices (see our Privacy Policy).
13. Changes to the Service or these Terms
We may update the Service and these Terms from time to time, including to reflect changes in the law, security practice, or the Service itself. If we make a material change to these Terms, we will take reasonable steps to notify account holders (such as an in-product notice or an email) before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. The "Effective date" and "Version" at the top of this page always show when it was last updated.
14. General
- Entire agreement — these Terms, together with our Privacy Policy and any order form or DPA agreed between us, form the entire agreement between the parties regarding the Service, superseding any prior agreement on the same subject.
- Severability — if any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- No waiver — failure to enforce any provision is not a waiver of our right to do so later.
- Assignment — you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure — neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.
15. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, without prejudice to any mandatory consumer-protection rights that may apply.
